1. Who these terms are with

This website and the services offered through it are provided by Heroup Digital LLC, a New Mexico Limited Liability Company (NM entity 0008048106) of 1380 Avenida Rincon, Apt 304, Santa Fe, NM 87506, United States. By using this site or purchasing a service you agree to these terms.

2. What we provide

We provide digital marketing services — search optimisation, paid search, paid social, conversion optimisation, email marketing, and analytics implementation — as described at our services page and priced at our pricing page. We provide no physical goods.

3. Engagement and payment

An engagement begins when you accept a plan and the first payment is taken. Retainers are billed monthly in advance in US dollars and continue until cancelled under our refund and cancellation policy. One-off services are billed once, in advance.

Advertising spend is separate and is billed to you directly by the advertising platform. We do not take a percentage of advertising spend.

4. What we commit to

• To perform the services described in the plan you purchased, with reasonable skill and care.
• To meet the delivery timelines in our fulfillment policy, or tell you promptly when something will be late and why.
• To keep accounts and assets in your name and hand everything over on termination.
• To report honestly, including when results are poor.

5. No guarantee of results

We do not and cannot guarantee specific rankings, traffic volumes, conversion rates, or revenue. Marketing outcomes depend on factors outside our control — competitor behaviour, platform algorithm changes, your pricing and product, market conditions, and the performance of your website. Any projection we give is an estimate made in good faith, not a promise. Be sceptical of any agency that guarantees a specific result.

6. What we need from you

You agree to provide timely access to the accounts and information required, to respond to approval requests within a reasonable period, and to ensure that material you supply is accurate and that you hold the rights to it. Where delays on your side prevent us from working, timelines extend accordingly.

7. Acceptable use

We will not provide services for businesses or campaigns involving illegal activity, deceptive or fraudulent claims, adult content, the promotion of hatred or violence, or anything prohibited by the advertising platforms we would be working in. We may decline or terminate an engagement on these grounds and will explain why.

You agree not to submit false information through this site, attempt unauthorised access to it, or use it for any unlawful purpose.

8. Intellectual property

Work produced specifically for you — ad copy, creative, landing page content, reports — becomes yours on payment for the period in which it was produced. Our own methods, templates, internal tooling and know-how remain ours. Website text, design and code on this site remain the property of Heroup Digital.

9. Confidentiality

We treat your business data, performance figures and strategy as confidential and do not disclose them to third parties except where required to perform the services or by law. We will not name you as a client publicly without your written agreement.

10. Payment processing

Card payments are processed by a third-party payment processor over an encrypted connection. Heroup Digital does not receive, handle or store card numbers, security codes, or bank credentials.

11. Limitation of liability

To the fullest extent permitted by law, our total liability arising from an engagement is limited to the fees you paid us in the three months preceding the claim. We are not liable for indirect, incidental or consequential loss, including lost profits or lost advertising spend. Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.

12. Termination

Either party may terminate a retainer under the cancellation policy. We may terminate immediately for non-payment, or for conduct falling under acceptable use. On termination you retain all accounts and assets and we remove our access.

13. Availability

This website is provided "as is" and "as available". We do not guarantee uninterrupted availability and may change or withdraw any part of it.

14. Governing law

These terms are governed by the laws of the State of New Mexico, United States, and the courts of New Mexico have exclusive jurisdiction over any dispute arising from them.

15. Changes

We may update these terms. The date above shows when they last changed. Material changes affecting an active engagement will be notified by email before they take effect.
